David CHEKROUN

David Chekroun is a Partner of the firm and Professor of International Business Law at ESCP Business School.

He advises listed and unlisted companies, executive teams, boards of directors, investors, and private equity funds on corporate governance matters and international strategic projects. His work, always characterised by its international and strategic dimension, requires a high degree of personal engagement, independence, and expertise.

In the field of corporate governance, he advises on board organisation and authority, shareholder strategy, transformative transactions, and the prevention and resolution of disputes.

In relation to international projects, he acts in mergers and acquisitions, joint ventures, strategic alliances, and sensitive divestments, assessing legal, reputational, and regulatory risks. He assists clients with cross-border growth transactions or those subject to enhanced regulatory scrutiny.

In matters of foreign direct investment (FDI) control, he conducts preliminary FDI assessments of investment projects to determine applicable notification and authorisation requirements under French and international foreign investment screening regimes. He assists clients in preparing and monitoring FDI filings before the French Ministry of the Economy, liaising with the Foreign Investment Control Bureau (CIEF). With an integrated and strategic approach, he acts as lead counsel or as specialised support, working closely with corporate and M&A teams throughout the FDI control process.

Alongside his legal practice, he teaches International Business Law and Corporate Governance at ESCP Business School, where he leads the Law & Finance specialisation and designs executive education programmes for senior leaders in Europe and the Middle East. He has taught in Paris, Berlin, London, Abu Dhabi, and New York, notably at NYU Abu Dhabi, Cardozo School of Law (New York), ESA Beirut, and the Sorbonne School of Law (University of Paris 1).

His research focuses on international business law, foreign investment control, corporate governance, and issues at the intersection of law and finance. The author of numerous publications, he serves on the editorial board of the International Business Law Journal (Revue de Droit des Affaires Internationales) and is an Honorary Senior Fellow of the British Institute of International and Comparative Law (London). He has served on the Scientific Council of the Robert Badinter Institute (IERDJ) and currently chairs Amicus Curiae.

He is the co-founder of the Institute for Corporate Governance and the FDI Control Forum, through which he organises conferences, forums, and publications on governance and foreign investment control.

He works in French and English.
