Our partner David Chekroun has been appointed Scientific Director of the “Governance” section of Dalloz actualité. This new section will be dedicated to the legal analysis of the mechanisms through which companies are directed, controlled, and held accountable.
The section is intended to serve as both a monitoring and analytical tool covering key developments in governance law. It will first focus on the legal framework, including legislative, regulatory, and doctrinal developments, as well as market codes, recommendations, and guidelines.
It will then examine governance bodies, their functions, duties, and responsibilities: duty of loyalty, the role of directors, the functioning of committees, executive compensation, succession planning, and civil, criminal, and market liabilities. It will also cover shareholder activism, governance dialogues, sustainability reporting, non-financial transparency, the integration of ESG objectives, and the evolving role of institutional investors and proxy advisory firms.
The section will further address sensitive situations, including leadership crises, shareholder disputes, M&A litigation, and the tools available for prevention and resolution.
